Terms & Conditions
These Terms & Conditions (“Agreement”) govern your use of services offered by HorizonX Studios (“Company”, “we”, “our”, or “us”). By engaging with our services, you (“Client”, “you”) agree to the terms outlined below.
1. Engagement of Services
By signing a proposal, making payment, or otherwise confirming work with HorizonX Studios, the Client agrees to engage us for the services outlined in the project scope. The scope, timeline, and deliverables will be mutually agreed upon prior to project commencement.
2. Client Responsibilities
To ensure smooth delivery and timely execution:
The Client agrees to provide all required inputs, approvals, and assets in a timely manner.
Delays caused by the Client (in providing feedback, content, payments, etc.) will result in adjustments to the project timeline.
The Client is responsible for the accuracy and legality of all content, images, and data shared for use in the project.
3. Payment Terms
Projects will commence only upon receipt of the initial payment as defined in the invoice or proposal.
Payments are due as per the agreed milestone or schedule.
Late payments will incur a 2% monthly late fee, and project delivery may be paused until dues are cleared.
No part of the service, strategy, design, or code will be considered the Client’s intellectual property until full payment has been received.
4. Revisions & Approvals
Each service package includes a fixed number of revisions, as outlined in the proposal.
Additional revisions beyond the agreed number will be billed separately at INR 500/hour (or equivalent in client’s local currency).
Delayed approval on drafts beyond 7 days without feedback will be deemed as automatic approval, and the project will proceed.
5. Intellectual Property Rights
Upon final payment, the Client will own all deliverables and intellectual property created specifically for the project.
HorizonX Studios reserves the right to showcase completed work in its portfolio, case studies, and marketing channels unless a written NDA is agreed upon in advance.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information, strategies, and client data shared during the engagement. No information shall be disclosed to third parties without prior written consent, unless required by law.
7. Cancellations & Refunds
All cancellations and refund requests are governed by our Cancellation Policy and Refund Policy, which are considered an extension of these Terms & Conditions. Please review them carefully before initiating any service with us.
8. Limitation of Liability
HorizonX Studios will not be liable for indirect, incidental, or consequential damages arising from delays, third-party software or plugin failures, hosting issues, or changes in third-party platform policies.
Our maximum liability for any claim related to the project shall not exceed the total fees paid by the Client for the specific service in question.
9. Force Majeure
We are not responsible for delays or non-performance due to events beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, cyber-attacks, or major infrastructure failure.
10. Termination of Agreement
Either party may terminate the agreement with a 14-day written notice, subject to any outstanding dues, work completed, and associated charges. HorizonX Studios reserves the right to terminate the agreement immediately if the Client:
Violates any clause of this Agreement
Engages in abusive, fraudulent, or unethical behavior
Fails to make payments within the agreed timeline
11. Governing Law
This Agreement shall be governed by the laws of the Republic of India, and any disputes arising shall be subject to the jurisdiction of the Courts of Bangalore, Karnataka.
12. Acceptance of Terms
By proceeding with our services, you confirm that you have read, understood, and agreed to these Terms & Conditions, as well as our Refund and Cancellation Policies.
Cancellation Policy
At HorizonX Studios, we strive to maintain a high standard of professionalism and accountability in all client engagements. This Cancellation Policy outlines the terms under which meetings and service agreements may be modified, rescheduled, or canceled.
1. Meeting & Strategy Call Cancellations
To ensure optimal time management for both parties:
Clients may reschedule or cancel their meetings up to 6 hours before the scheduled time using the reschedule link provided in the confirmation email.
Cancellations or no-shows made less than 6 hours before the meeting will be marked as a breach of commitment. In such cases, the client will be blacklisted from scheduling future appointments with HorizonX Studios.
Requests for exceptions due to emergencies must be made in writing and will be reviewed on a case-by-case basis.
2. Project Cancellations
We understand that project priorities may change, but once work has started, resources—including time, strategy, and creative bandwidth—are committed. Our policy is as follows:
a. Before Project Kickoff
A full refund is available if cancellation is requested before any work has begun, minus a 5% processing fee.
b. After Project Kickoff
If the project is canceled after work has started, a pro-rata refund will be issued based on the percentage of work completed at the time of cancellation.
Any work delivered prior to cancellation will remain with the client, and HorizonX Studios retains no rights to reuse or resell such material.
c. After Project Completion
Once a project has been delivered in full, no refunds will be issued.
If the client is dissatisfied, we offer revisions based on the agreed-upon scope. Refunds will not be issued in lieu of revisions.
3. Retainer Service Cancellations
For services such as social media management, paid advertising, SEO, or other monthly retainers:
A 30-day written notice is required for cancellation.
Any services already delivered within a billing cycle are non-refundable.
4. Paid Consultations and One-Time Strategy Sessions
These sessions are non-refundable once the meeting has been conducted.
If the client fails to attend without rescheduling at least 6 hours in advance, the session will be considered consumed and cannot be rebooked.
5. Chargebacks and Dispute Policy
Initiating a chargeback after services have been delivered in good faith is considered a serious violation of this policy.
In the event of a chargeback, HorizonX Studios reserves the right to:
Pursue legal action in the client’s jurisdiction under applicable business laws.
Publicly disclose the nature of the chargeback dispute to protect the studio’s reputation, if necessary.
Permanently blacklist the client from all future services.
6. Governing Law
This policy shall be governed by and construed in accordance with the laws of the Republic of India, and any disputes shall fall under the exclusive jurisdiction of the Courts of Bangalore, Karnataka.
Refund Policy
At HorizonX Studios, we are committed to delivering exceptional results and client satisfaction. However, due to the nature of digital services, certain boundaries must be established for when refunds may or may not be issued. Please read the following policy carefully before engaging with our services.
1. General Refund Principles
Refunds are issued only under specific circumstances as outlined below.
All refund requests must be submitted in writing via email, stating the reason for the request and supporting documentation (if applicable).
Refunds, when approved, will be processed within 7–10 business days via the original payment method.
2. Refund Eligibility by Service Type
a. Web Design, Development, Branding, and UI/UX Services
Before Work Begins:
If the client cancels the project before any work has commenced, they are eligible for a full refund, minus a 5% administrative and processing fee.After Work Begins:
If cancellation occurs after project kickoff, a pro-rata refund will be issued based on the portion of work completed. Any approved refund will be calculated by deducting hours spent, resources utilized, and deliverables already shared.After Project Completion:
No refunds will be issued once the final deliverables have been submitted and approved.
b. Consultation Calls and Strategy Sessions
Once the session is conducted, no refunds will be provided.
If a session is missed or the client fails to reschedule at least 6 hours in advance, the session is considered forfeited and non-refundable.
c. Monthly Retainer Services (Marketing, SEO, Paid Ads, etc.)
Clients must notify us of cancellations with at least 30 days’ notice.
Services already rendered within a billing cycle are non-refundable, regardless of usage or results, as time and resources are allocated in advance.
Refunds will not be provided for underutilized service hours.
3. Non-Refundable Situations
Refunds will not be granted under the following circumstances:
Client requests cancellation after project completion and delivery.
The client is unresponsive or delays the project, resulting in stagnation.
Dissatisfaction due to change in business direction, design preferences, or subjective taste after work has been completed within agreed scope.
Delay in project timelines caused by lack of client inputs or delayed approvals.
Technical issues outside our control, such as third-party hosting, domain providers, or platform limitations.
Client violates terms of service or engages in unethical or abusive behavior.
4. Chargeback Policy
If a client initiates a chargeback after receiving services in good faith, HorizonX Studios reserves the right to:
Take legal action in the client’s jurisdiction.
Publicly disclose the dispute to defend the studio’s reputation.
Permanently blacklist the client from accessing any of our services in the future.
5. Dispute Resolution
Before initiating any form of dispute or chargeback, clients are encouraged to contact our support team to attempt resolution. We are committed to fair communication and dispute settlement.
6. Governing Law
This Refund Policy shall be governed in accordance with the laws of the Republic of India, under the jurisdiction of the Courts of Bangalore, Karnataka.
